Investor information
Information, not an investment offer
This portal is not a prospectus, offering memorandum, solicitation, investment recommendation or invitation to deposit money. No live BTG investment subscription or secondary trading service is offered here.
The economic distinctions
A commercial licence typically grants specified use of data or executable software. A royalty or revenue entitlement may be contractual. A security can represent equity, debt, a profit-sharing arrangement or another regulated investment interest. The security classification depends on law and economic substance, not BTG's chosen product label.
Principal risks
- Regulatory: an exemption for issuing securities is not permission to operate a trading venue.
- Commercial: buyers may not materialize, product demand can change and cash flows may be zero.
- Rights: provenance may be contested, third-party licences may restrict use, or privacy issues may require withdrawal.
- Valuation: historic investment, hypothetical market size and proposed prices do not establish an asset's realizable value.
- Liquidity: investors might have no permitted or practical resale venue.
- Technical: systems can fail, security controls can be bypassed and scientific outputs can be incorrect.
- Conflicts: platform, issuer, contributors and investors may have different interests.
Controls required before any offering
Verified issuer and legal rights; reviewed offering terms; suitable corporate records; qualified legal advice on securities classification, exemptions, dealer and marketplace obligations; investor eligibility where applicable; reconciled banking; truthful disclosures; cyber/privacy assurance; and a board-authorized operational release.
